These Terms and Conditions (“Terms”) govern your use of the Digital Tribe website (digitaltribe.in) and any services provided by Digital Tribe (“we”, “us”, “our”), a digital marketing and web design agency based in Bangalore, India. By using our website or engaging our services, you agree to these Terms.
1. Services Offered
Digital Tribe provides digital marketing and related services, including but not limited to Meta Ads, Google Ads, SEO, website design and development, content marketing, marketing automation, and analytics and reporting. The specific scope of services for each client is defined in a separate proposal, agreement, or statement of work.
2. Client Responsibilities
To deliver our services effectively, clients are expected to:
- Provide accurate, complete, and timely information relevant to the engagement
- Provide necessary access to websites, ad accounts, analytics, and other platforms as required
- Review and approve deliverables, creatives, and campaigns within agreed timelines
- Maintain ownership of and responsibility for their own ad accounts and associated billing, unless otherwise agreed in writing
3. Fees and Payment Terms
Service fees, payment schedules, and billing cycles are agreed upon separately with each client and outlined in the relevant proposal or invoice. Payments are due as per the agreed terms. Late payments may result in a pause of services until dues are cleared.
4. Advertising Spend and Platform Policies
Any advertising spend (e.g. on Google Ads or Meta Ads) is separate from our service fees and is billed directly by the respective advertising platform to the client’s own ad account, unless otherwise agreed. We do not control, and are not responsible for, changes to third-party platform policies, algorithms, pricing, or ad approval decisions. We do not guarantee specific results, rankings, or return on ad spend, as these depend on multiple factors outside our control.
5. Intellectual Property
Upon full payment for a deliverable (such as a website, creative asset, or campaign material), ownership rights transfer to the client, unless otherwise agreed in writing. Digital Tribe retains the right to use completed work in its portfolio, case studies, and marketing materials, unless the client requests otherwise in writing. Any pre-existing tools, frameworks, or proprietary processes used by Digital Tribe remain our property.
6. Confidentiality
We treat all client information, business data, and campaign performance details as confidential and will not disclose them to third parties except as necessary to deliver services or as required by law.
7. Third-Party Tools and Platforms
Our services may involve the use of third-party platforms and tools (such as Google, Meta, WordPress, CRM, and analytics providers). We are not responsible for outages, policy changes, or issues arising from these third-party platforms.
8. Limitation of Liability
To the extent permitted by law, Digital Tribe shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website, including but not limited to loss of revenue, data, or business opportunities. Our total liability for any claim shall not exceed the fees paid by the client for the specific service in question during the preceding three months.
9. Termination of Services
Either party may terminate an ongoing service engagement as per the notice period agreed in the relevant proposal or contract. Fees for work completed up to the date of termination remain payable.
10. Refunds and Cancellations
Refunds, if applicable, are handled on a case-by-case basis as per the terms agreed at the start of the engagement. Fees already spent on third-party services (such as ad spend, domain, or hosting) on the client’s behalf are generally non-refundable.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
